Agreement to Terms of Use

PLEASE READ THESE TERMS OF SERVICE (“Terms”) CAREFULLY. BY ACCESSING OR USING THE SERVICES PROVIDED BY GEFI TECHNOLOGIES PTE. LTD. (“GeFi”, “Company”, “we”, “us”), YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING ALL DISCLAIMERS, LIMITATIONS OF LIABILITY, AND ARBITRATION PROVISIONS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM.

1. Definitions

For the purposes of these Terms, the following definitions shall apply unless the context requires otherwise:

• “Services” means the suite of offerings provided via GeFi’s SaaS web platform, Marketplace functionality, Community features, and any related blockchain or digital asset services.
• “User” means any individual or entity accessing or using the Services, including both registered and non-registered visitors.
• “Account” means any registered account created by a User to access certain Services.
• “Non-Custodial Wallet” means any cryptocurrency wallet or blockchain address under the exclusive control of the User.
• “Content” means any text, data, graphics, images, videos, or other materials uploaded, transmitted, or made available via the Services.
• “Platform” refers collectively to GeFi’s web application, Marketplace, Community services, and any related software or interfaces.

2. Eligibility & User Representations

By accessing or using the Platform, the User represents and warrants that:

• The User is at least 18 years of age or of legal age in their jurisdiction to form binding contracts.
• The User has full authority to enter into these Terms and comply with all obligations herein.
• The User will comply with all applicable laws, regulations, and rules, including those governing digital assets, cryptocurrencies, and financial transactions.
• The User understands and accepts all risks associated with blockchain interactions, Marketplace transactions, and SaaS usage.
• The User is solely responsible for ensuring legality of their access and use of the Services in their jurisdiction.

3. Platform Access, Accounts & User Responsibilities

Users may be required to register and maintain an Account to access certain Services. By registering, Users agree to:

• Provide complete, accurate, and current information during registration and maintain its accuracy.
• Safeguard login credentials and immediately notify GeFi of any unauthorized use.
• Accept full responsibility for all actions taken under their Account.
• Not use another User’s Account without explicit permission.
• Refrain from actions that disrupt or impair the Platform’s functionality, including denial-of-service attacks, data scraping, or any unauthorized interference.

4. Description of the Platform & Services

The Platform integrates multiple service modalities including:

• SaaS Web Application: Tools, dashboards, analytics, or AI-driven functionality provided online.
• DeFi / Blockchain Services: Non-custodial smart contract interactions, token transactions, or staking services.
• Marketplace: User-to-user exchange of goods, services, or digital assets.
• Community: Forums, discussion boards, and events facilitated via the Platform.

GeFi reserves the right to modify, suspend, or discontinue any Service or feature at any time without notice.

5. Blockchain Interactions & Non-Custodial Wallet Terms

The User acknowledges and agrees that:

• All interactions with blockchain protocols or smart contracts are performed at the User’s sole risk.
• GeFi does not have custody or control over digital assets and cannot reverse transactions.
• The User is responsible for securing private keys, wallet credentials, and transaction integrity.
• GeFi is not liable for any losses arising from wallet compromise, network failure, or blockchain protocol vulnerabilities.
• By using blockchain features, the User assumes all inherent risks, including market volatility, smart contract bugs, and operational errors.

6. Subscription Rights & SaaS License

Subject to these Terms, GeFi grants Users a limited, non-exclusive, non-transferable, revocable license to access and use the SaaS components of the Platform for personal or internal business purposes. Users agree that:

• They will not sublicense, copy, distribute, reverse engineer, or create derivative works from the Platform.
• Access may be subject to subscription fees, which GeFi may change with prior notice.
• Any trial, beta, or limited access periods are provided “as-is” without warranty.
• GeFi reserves the right to suspend or terminate Accounts for violations of these Terms or suspected fraudulent activity.

7. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. USERS ACCEPT ALL RISKS ASSOCIATED WITH THE USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO TECHNICAL FAILURES, SMART CONTRACT ERRORS, MARKET VOLATILITY, OR DATA LOSS.
